The terms that govern quotations, projects and services provided by Vision BI.

These terms govern all quotations, projects and services provided by Vision BI (Pty) Ltd (Registration No. 2024/429527/07), East Rand, Gauteng, South Africa.
By accepting a quotation, paying a deposit, or instructing us to begin work, you (the Client) agree to be bound by these Terms. Please read them carefully. They form a binding agreement between you and Vision BI (the Service Provider).
Quotations are valid for 30 days from the date of issue, after which pricing may be revised. A Quotation is accepted, and these Terms become binding, when the Client does any of the following: signs or confirms acceptance in writing, including email or WhatsApp; pays the Deposit; or instructs us to commence work.
The scope of work is limited to what is expressly stated in the Quotation. Anything not listed is excluded and, if requested later, will be quoted and billed separately, as set out in clause 9.
A non-refundable Deposit of 50% of the Contract Price is required before any work begins. The Deposit secures your place in our schedule and covers initial planning, design and setup. Work will not commence until the Deposit reflects in our account. If a Project is cancelled by the Client for any reason, the Deposit is forfeited.
When the Project meets the scope set out in the Quotation, we will notify the Client that it is ready for review. The Client must review and either approve the Project or provide a single consolidated list of scope-related issues within 7 days of that notice.
If the Client does not respond within 7 days, or begins using the Project in production, the Project is deemed accepted and the balance becomes immediately payable. A Project is not considered incomplete because of change requests, additions, or items that fall outside the agreed scope.
The Quotation includes 2 rounds of revisions on agreed deliverables. Further revisions are billed at our standard rates.
All intellectual property, ownership rights and source materials in the Project remain vested in Vision BI until the Contract Price has been paid in full. No licence, right of use, or transfer of ownership passes to the Client, and the Client acquires no rights in any design, code, file or asset, until full and final payment has been received.
On receipt of full payment, ownership of the agreed final deliverables transfers to the Client. Until then, any use of the Project by the Client is unlicensed and unauthorised. Vision BI retains the right to use third-party tools, frameworks, libraries and licensed components subject to their own licence terms, and to reuse generic, non-Client-specific code, techniques and know-how in other projects.
We will deploy the Project to the Client's live environment, and hand over final files, source code, logins and credentials, only once the Contract Price has been paid in full. Prior to full payment, any preview, staging or demonstration version remains hosted and controlled by Vision BI and may not be copied, exported or used in production.
Any request that falls outside the agreed scope, including new features, additional pages, redesigns, or changes after sign-off, constitutes additional work. It will be quoted separately and is subject to its own deposit and these Terms. Scope changes may affect timelines and pricing.
The Client must provide all required content, text, images, brand assets, access and approvals promptly. Delays caused by outstanding Client materials or feedback do not extend the Client's payment obligations or entitle the Client to withhold payment. The Client warrants that all materials supplied are owned by or licensed to them and do not infringe any third party's rights.
Domains, hosting, plugins, licences, stock assets, integrations and similar third-party costs are payable in advance and are non-refundable. These are billed in addition to the Contract Price unless expressly included in the Quotation.
Hosting, maintenance, support and ongoing services are separate from Project development and are governed by their own agreement or retainer. Unless a maintenance agreement is in place, we are not responsible for updates, backups, security or uptime after handover.
We will perform our services with reasonable skill and care. We will correct genuine defects in agreed deliverables reported within 14 days of Go-Live at no charge. Beyond that, the Project is provided "as is". To the maximum extent permitted by law, our total liability arising from any Project is limited to the Contract Price paid for that Project, and we are not liable for any indirect or consequential loss, including loss of profit, data or business.
If the Client cancels a Project after work has begun, the Deposit is forfeited and the Client is liable for all work completed and third-party costs incurred up to the date of cancellation. We may cancel a Project if the Client is in material breach of these Terms, including non-payment, in which case clauses 6, 7 and 8 continue to apply.
Each party will keep the other's confidential information private. We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA), and only as necessary to deliver the Project and our services. These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.
These Terms, together with the accepted Quotation, form the entire agreement between the parties and supersede any prior understanding. If any provision is found unenforceable, the remaining provisions continue in full force. We may update these Terms from time to time; the version in effect when a Quotation is accepted applies to that Project. No variation is binding unless agreed in writing.
